These Terms of Service (“Terms”) govern your use of Gesprek, a Dutch-language learning service operated by Applied Minds (“Gesprek”, “we”, “us”). By creating an account or using the guest sample, you agree to these Terms.
1. Parties and definitions
Gesprek is operated by Applied Minds, a sole proprietorship (eenmanszaak) registered with the Dutch Chamber of Commerce (KVK) under number 42069132, VAT number 487327056B01. “You” or “learner” means the individual using the service; “school” or “institution” means an organisation that has arranged cohort access for its members. These Terms are an agreement between you and Applied Minds.
2. Account eligibility and responsibilities
You must be at least 16 years old to create an account directly. Younger learners may use Gesprek only through a school cohort arranged by their institution under a separate agreement with us. You are responsible for keeping your password confidential and for all activity under your account, and must tell us promptly at support@gesprek.org if you suspect unauthorised access.
3. Licence and permitted use
We grant you a personal, non-exclusive, non-transferable licence to use Gesprek for your own language learning for as long as your account is active and, where applicable, your trial or subscription is in effect. You may not resell, sublicense, scrape, or use the service to build or train a competing product.
4. Acceptable use and prohibited conduct
You agree not to submit content that is unlawful, infringing, or abusive, not to attempt to disrupt, probe, or reverse-engineer the service, and not to circumvent the usage limits tied to your plan. Teachers who author or upload their own material into a cohort are additionally bound by our Acceptable Use Policy once it is published; until then, this clause governs their contributions directly.
5. User content and ownership
You keep ownership of anything you submit — for example free-text practice answers or feedback. Submitting it grants us a licence to store and process it to provide and improve the service. Teacher-authored topic content remains the teacher’s, subject to any separate cohort or institutional agreement.
6. Intellectual property
Gesprek’s content — including the Dutch sentence corpus, audio, software, and design — is owned by Applied Minds or its licensors and is protected by copyright and other laws. Nothing in these Terms transfers ownership of that content to you.
7. Subscriptions, pricing, taxes, and auto-renewal
Gesprek offers a free tier, a free trial, and paid monthly and yearly plans. Current prices are shown at checkout, VAT included — as of this draft, €9.99/month or €99.99/year. Paid plans renew automatically at the then-current price until cancelled. VAT is calculated and collected via our payment processor, Stripe; Applied Minds remains the seller of record. You can turn off auto-renewal at any time from your account; cancellation takes effect at the end of the current billing period.
8. Free trial
New paid subscriptions start with a 30-day free trial. If you do not cancel before the trial ends, it converts automatically into a paid subscription and you will be charged.
9. Right of withdrawal for EU consumers
If you are a consumer in the EU, you have a 14-day right to withdraw from a paid subscription without giving a reason, starting the day you subscribe. If you ask us to begin supplying paid-tier access before those 14 days are up, you are acknowledging — as EU law requires us to ask you to — that you lose the right of withdrawal once the service has been fully performed within that window. 10. Suspension and termination
We may suspend or terminate your account for a serious or repeated breach of these Terms, for non-payment after a reasonable notice period, or where required by law. You may stop using Gesprek and delete your account at any time from your account settings.
11. Warranties and disclaimers
Gesprek is provided “as is”. We do our best to keep the service accurate and available, but we do not guarantee it will be uninterrupted or error-free, and we make no guarantee about any specific learning outcome.
12. Limitation of liability
To the extent permitted by law, Applied Minds’ total liability to you for any claim arising from these Terms or your use of Gesprek is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect or consequential loss. Nothing here limits liability that cannot lawfully be limited, such as liability for death, personal injury, or fraud.
13. Indemnity
You agree to indemnify Applied Minds against claims arising from your breach of these Terms or misuse of the service, to the extent permitted by law.
14. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days’ advance notice by email before they take effect, together with a right to cancel without penalty during that window. Non-material changes — typo fixes, a new subprocessor of the same kind — take effect immediately and simply update the “last updated” date on this page.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Netherlands. If you are a consumer, this does not deprive you of any mandatory protection given to you by the law of the country where you live, and you may bring proceedings there as well as in the Netherlands. Subject to that, disputes are submitted to the exclusive jurisdiction of the Rechtbank Oost-Brabant (Eindhoven), the Netherlands. EU consumers may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
